C’est l’achèvement d’un travail soutenu. Suite à la signature du Protocole issu de la renégociation des contrats de concession de l’Autoroute à péage Dakar-Diamniadio-AIBD avec le Concessionnaire SECAA, ces deux Parties ont engagé la phase de rédaction de nouveaux documents contractuels, avec un travail approfondi d’implémentation des aspects financiers du protocole et des propositions de contrats relatifs à l’entrée au capital.
Présentés hier par le ministre sénégalais des Finances et du Budget, Abdoulaye Daouda Diallo, ces nouveaux documents contractuels comprennent notamment :
d’une part, un avenant unique au Contrat Initial et au Contrat Complémentaire dont l’objet est de modifier, d’harmoniser et de fusionner les stipulations des Contrats dans une seule et même convention (le « Contrat Unique »), et ; d’autre part, une convention d’investissement et un contrat de cession pour déterminer les conditions et modalités d’entrée de l’Etat au capital social de la société et les obligations incombant aux Actionnaires de la société.
Ces nouveaux accords qui ont fait hier l’objet d’une signature par les deux Parties revêt une importance particulière aux yeux du gouvernement, en ce sens qu’elle marque à la fois la fin de longues discussions, qui ont débouché sur des compromis et la signature d’un nouveau contrat de concession, plus équitable, ainsi que l’a souligné le ministre.
« Nous avons enfin réussi à rétablir un meilleur équilibre entre l’Etat et le Concessionnaire. Désormais, il y aura un partage plus juste des profits futurs avec l’Etat et les Usagers. Les flux nets à recevoir par l’Etat sont estimés à 305,5 Mrds de F CFA sur la période 2021-2044, avec des évolutions progressives annuelles et une moyenne de 13 Mrds de F CFA », s’est-il réjouit.
« L’Entrée de l’État du Sénégal dans le Capital de SECAA consacre la participation de l’Etat dans la gouvernance de la Concession avec tous les avantages y afférents, notamment dans la gestion et le pilotage de l’exploitation, avec un suivi particulier du programme d’investissement, des recettes d’exploitation et des charges associées, en toute transparence », a-t-il déclaré.
« Des programmes d’investissements impliquant l’Etat-actionnaire accompagneront l’évolution de la capacité de l’ouvrage, en fonction du profil du trafic et la mise en œuvre de la réalisation des ouvrages différés », a-t-il projeté.
« A présent, la position de l’Etat est déterminante dans cette concession autoroutière en tant qu’« Etat-Actionnaire », « Etat-Investisseur » et « Etat-Régulateur » à travers :
d’abord, « Etat actionnaire » siègera dans les organes de Gouvernance de la Concession et recevra des dividendes ; ensuite, « Etat investisseur » bénéficiera du partage de fruit et de collecte de redevance foncière à effet immédiat ; et enfin, « Etat-Régulateur » assurera le suivi du contrat de performance », a-t-il expliqué.
Le gouvernement du Sénégal avait engagé, depuis 2019, la renégociation des contrats de concession de l’Autoroute à péage Dakar-Diamniadio-AIBD avec le Concessionnaire SECAA. Cette renégociation, une forte demande de la population sénégalaise s’est inscrite en effet dans l’exécution des instructions données par le président de la République, Macky Sall, de revoir la concession autoroutière Dakar-Diamniadio-AIBD, « dans le souci d’aboutir à un partenariat équilibré pour préserver les interdits des usagers et du Sénégal de manière générale ».
A cet effet, le ministre est revenu sur les négociations qui ont permis d’aboutir aux gains suivants pour le Sénégal:
l’entrée de l’Etat dans le capital de la société chargée de l’exploitation à hauteur de 25%; la réévaluation de la redevance domaniale annuelle représentant 2% du Chiffre d’affaires annuel de la SECAA, avec un minimum de 800 millions de FCFA par an au lieu de 1000 FCFA par an dans l’ancien contrat ; le réajustement des clauses et échéances de Partage des fruits de la concession ; le plafonnement du Taux de Rendement Interne (TRI) cible à hauteur de 17% au lieu de 20,1% dans le Contrat Complémentaire et avec correction des hypothèses sous-jacentes pour mieux refléter la réalité de l’économie sénégalaise ; le gel de l’indexation des prix appliqués aux usagers sur l’inflation pendant 5 ans ; en réponse à la forte demande des usagers, la réalisation de l’éclairage par la société d’exploitation sur tout le linéaire de la section courante et au niveau des diffuseurs ; l’extension de la durée de la Concession pour 5 ans dans la perspective d’un partenariat durable et permettant les meilleures conditions d’un transfert de l’ouvrage à terme et la réalisation des Gros Entretiens et Réparations ; la fusion et l’Harmonisation des contrats initial et complémentaire en un seul véhicule contractuel consolidé, facilitant le suivi des nouveaux équilibres économiques convenus dans le cadre de la concession renégociée
