Commençons par rétablir encore une fois la vérité, Bocar Samba Dièye avait été fidèle à la BIAO-S aux moments les plus difficiles. Recherchant des actionnaires sénégalais pour cette banque dont la recapitalisation avait été confiée à Abdoul Mbaye, ce dernier lui a proposé, sous forme de faveur, d’en devenir un des actionnaires avec d’autres compatriotes, ce qu’il avait accepté.
Il a en outre bénéficié de tous les concours possibles au sein de cet établissement dont il était devenu sans aucun doute possible le client sénégalais le plus important.
Ayant pris la décision de créer une nouvelle banque en 1997 (nom de code : « Alpha Bank »), Abdoul Mbaye lui a proposé, ainsi qu’à d’autres compatriotes triés sur le volet, d’en devenir actionnaire. Il a reçu à ce titre l’étude de faisabilité, a donné son accord et a libéré un premier montant de 10 millions fcfa.
Une opportunité s’offrant avec la reprise de la BST, ceux (dont lui) qui avaient déjà libéré une partie du capital de « Alpha Bank » en cours de constitution ont accepté de souscrire au capital de la BST en reconstitution pour des montants absolument identiques et parfois en accroissant leur participation. Le projet « Alpha Bank » est devenu celui de la BST à redresser.
Ainsi :
• Abdoul Mbaye n’a jamais fait payer une étude de faisabilité à B S Dieye. A défaut qu’il le prouve ;
• Les sommes qu’il a versées ont toutes servi à libérer sa participation à l’augmentation du capital de la BST. A défaut qu’il le prouve ;
• Le redressement de la BST était un dossier confié à feu Aliou Sow, qui a accepté d’accueillir des actionnaires que Abdoul Mbaye lui a proposés à condition de ne pas perdre la majorité du capital. B S Dieye ne pouvait donc en aucun cas prétendre à 25% de ce capital comme il l’aurait soutenu. Il n’a donc jamais été trahi. Par contre, il a été signataire d’un pacte d’actionnaire par lequel il accepte expressément le niveau de sa participation parmi d’autres clauses.
Par contre, en participant au capital de la BST, B S Dieye a, sans aucun doute possible et grâce à Abdoul Mbaye, réalisé l’investissement le plus profitable de toute son existence. Même s’il le tait pour éviter l’expression d’une reconnaissance à l’endroit de Abdoul Mbaye, il n’a jamais soutenu le contraire.
C’était en 1999. Les anciennes équipes de la CBAO puis de la BST se souviendront à quel point ce brave homme, opérateur économique souvent cité en exemple par leur directeur général, était porté en estime par ce dernier.Il était un modèle pour tout entrepreneur.
Enfin, il est difficile de comprendre comment on pourrait retenir qu’une vente d’actions à un non-actionnaire respectant la loi et les conditions fixées dans les statuts de la société concernée pourrait correspondre à un « complot secret » dirigé contre l’un de ses actionnaires les plus modestes.
C’est après le départ de Abdoul Mbaye de la BST en 2006 que les affaires de B.S. Dieye auraient périclité.
Nous conseillons donc à tout ce beau monde qui s’arrache ce dossier, de produire la décision de justice et de continuer leurs procédures judiciaires. BS Dieye a contesté le débit d’une traite de plusieurs milliards plusieurs années plus tard. Il ne s’en serait pas rendu compte! Celle-ci a été retrouvée et il a perdu devant la justice. Il n’a pas jugé utile de poursuivre sa défense car la vérité a été rétablie. De plus, il ne s’agit point d’un dossier Bocar Samba Dièye contre Abdoul Mbaye mais plutôt entre Bocar Samba Dièye et la banque CBAO.
Nous lui conseillons de faire confiance à ses avocats, plutôt qu’à une bande de populistes qui cherche à gagner en notoriété.
Et d’ailleurs, nous invitons Monsieur Famara Ibrahima Cissé, et toute personne qui s’accroche à ce dossier mais également monsieur Bocar Samba Dièye, ses soutiens et ses avocats à un débat public.
Nous vous ferons juste noter que tout ce qui sera dit sur la base de mensonges visant à porter atteinte à l’honorabilité de Abdoul MBAYE fera l’objet d’une plainte pour diffamation.
